All terms refer to the offer, acceptance and consideration of payment necessary to undertake the process of our assistance to the Client in the most appropriate manner for the express purpose of meeting the Client’s needs in respect of provision of the Company’s stated services, in accordance with and subject to, prevailing law of Ireland. Any use of the above terminology or other words in the singular, plural, capitalization and/or he/she or they, are taken as interchangeable and therefore as referring to same. "Business Days" are defined as Monday to Friday, 09:00 to 17:00 Dublin Time.

Payment
The prices of our services are in Euros (€) but may vary per territory. We reserve the right to change the prices of our services at any point without prior notice or sharing of reasons.
If you choose to purchase one or more of the services provided on HeyManuel, you agree to pay all fees (“Fees”) associated with the services. Any charges incurred by your purchase or use of the services will be billed to the credit card we have on file. In the event you sign up for a service that is ongoing and incurs recurring charges (such as a subscription), such charges will be billed in advance of the service. You agree to provide us with accurate and complete billing information, including valid credit card information, your name, and contact details, and to provide us with any changes in such information within 10 days of the change.
All fees, surcharges and taxes are non-refundable after a cooling off period of 10 business days as long as the service use has not commenced yet.
Once your agreed payment is made, any price changes will no longer affect you for the agreed period of service use.
Cancellation Policy
We may contact you to say that we cannot accept your booking. If we do this, we will try to tell you promptly why we cannot accept this. This is typically for the following reasons:
we cannot carry out the services, e.g. due to a shortage of staff or resources
we cannot authorize your payment; or
there has been a mistake on the pricing or description of the services.
If you are under the age of 18 you may not buy any services from us.
A cancelled appointment affects three individuals: you, your service provider and another client. Sessions are scheduled in advance and are a time reserved exclusively for our clients. When a session is cancelled without adequate notice, we are unable to fill this time slot by offering it to another current client, a client on the wait list, or a client with a clinical emergency.
To exercise your right to cancel you must inform us of your decision to cancel by a clear written statement via email to support@heymanuel.com. You cannot cancel by telephone or otherwise. If you send an email cancellation, we will communicate to you an acknowledgement of receipt of such a cancellation by email. We recommend you keep a copy of your acknowledgement. If you send an email and do not receive this acknowledgement please resend your email.
If you submit your cancellation notice two business days prior to your appointment, you will be able to reschedule based on your and our availability. We will make reasonable efforts to accommodate your schedule but we are unable to avoid delays due to shortage of staff or resources. You may also transfer the credits to a client of your choice who may use our services instead, similar to a voucher (“deposit repurposing”). We reserve the right to refuse entry to any new clients without sharing any reasons. A refund is not possible beyond the aforementioned cooling off period. — This means that if your appointment is scheduled for 15:00 on a Tuesday, notice must be given by 15:00 on the previous Friday.
If you submit your cancellation notice later than two business days prior to your appointment, we will be unable to accept your cancellation as we will not be able to offer your appointment to another client. You will forfeit the scheduled appointment. You may not repurpose your paid deposit as stated above. A refund of any monies paid is not possible. You may be subject to a surcharge if this appointment is required for the agreed service plan. This policy also applies if you miss your appointment or do not show up. Treatment may be reevaluated and/or terminated at HeyManuel’s discretion after a client’s cancellation or no-show.
We reserve the right to refuse, modify, withdraw an offer, or cancel your booked appointment, or cease the provision of services without a refund for any of the following reasons:
If you have not paid your Deposit in accordance with these Terms, your Payment Schedule or provided due date.
If you have any outstanding debt owed to Us in respect of any other orders.
If you are paying by direct debit and the direct debit payment is cancelled or fails.
If you have not been approved as a client during the Introductory Call.
If you fail to attend in accordance with our requirements and schedules, or fail to communicate at the agreed cadence.
If you are found to have committed gross misconduct or found guilty of a serious criminal offence.
If there are not enough clients confirmed on a group programme or if the number of clients confirmed exceeds the number of places available on a group programme (If applicable).
Or any other unforeseen circumstance out of our control.
We reserve the right to change the appointment date or time as a result of circumstances beyond our control. Whilst every effort is made to avoid changes to your appointment, we reserve the right to modify, withdraw or cancel any booking.
We appreciate your understanding and cooperation.
Warranty
You warrant to Us that, you suffer from no medical or physical condition or disability (‘impairment’) that will or might increase the normal risks associated with participation in the services provided by HeyManuel. Alternatively, if you do have an impairment, you warrant that your doctor has approved your participation in this service.
You warrant and accept that you have exercised due diligence with regard to the legal requirements/regulations and will follow all legal requirements and regulations in your region/area before ordering with us. It is in our discretion to refuse a refund of any monies paid if you discover you cannot avail of our services in your region/area after booking our services.
The techniques We use can have a big impact. Some people are more resilient in coping with change than others. We need to let you know about the types of injuries that people could experience in participating in our services, even if that injury has never occurred before, or is highly unlikely. You acknowledge that participation in this course involves a degree of risk of personal injury, including a risk of emotional upset or at the extreme, serious injury or death, and agree to take responsibility for your health and wellbeing in relation to our services.
You acknowledge that HeyManuel does not carry medical insurance for clients. You are strongly recommended to obtain health insurance appropriate to your circumstances. You acknowledge that in the event of personal injury or illness suffered in association with your participation in our services, any costs incurred will need to be paid by you from your personal resources or insurance.
You acknowledge that we will be covering sensitive topics including (but not limited to) anxiety, depression, self-esteem, fears, phobias or addictions and that these topics can trigger psychosis or trauma in some individuals. If you elect to participate, you agree to participate with this knowledge.
You understand that participation in our services is voluntary.
You agree to inform us immediately if you feel that participation in any part of our services would be unsafe or uncomfortable for you, or you experience upset or injury during the course of our services.
Right to Refuse Entry or Exclude
We reserve the right to refuse an order to any client or potential client, or to exclude a user from our services where there is or has been conduct which in our opinion is likely to cause distress, damage or annoyance to other clients, potential clients, employees, property or to any third party.
We reserve the right to refuse an order to any client or potential client, or to exclude a user from our services where there is or has been a breach of this Agreement.
Users refused entry to our services or removed from our services will be liable to pay the entire balance of service fee including any loss of the Deposit (if applicable).
All services are delivered in English or German, and it is up to you to assess your level of competency before booking our services.
Scope of Practice
You hereby release us from any liability or claims that could be made against us concerning any issues, including (but not limited to) your mental and/or physical wellbeing during the work that has been outlined and agreed upon (now and in the future).
You understand that we are not licensed physicians or medical practitioners of any kind and that therapy and coaching should not be considered a replacement for the advice and/or services of a GP, specialised doctor or psychiatrist. You confirm that you have not ever been diagnosed of and do not suspect you are currently suffering from any of the following: epilepsy; psychosis; schizophrenia; bipolar disorder.
You choose to participate willingly and voluntarily and give full permission to be hypnotised using Rapid Transformation Therapy (RTT) knowing that by participating fully in the process and by listening to your bespoke recording for at least 21 days you play an important role in your overall success. You confirm that you will not be under the influence of alcohol or drugs during our session.
You understand that although RTT has an incredibly high success rate, individual results are not guaranteed since your own personal success depends on many factors that we have no control over, including your willingness and desire to affect the changes inside of yourself. Results cannot be guaranteed, moreover, results from individual testimonials are for reference only and your own personal experience may differ to those shown on this site.
You give permission to make audio recordings that may include your voice and understand that if a recording (or recordings) is made during or after your session(s), HeyManuel retains full copyright over any forms of media that may be produced and distributed to you. You confirm that you will not make any audio or video recording of the session without prior written consent by us.
HeyManuel retains full copyright over any forms of video, audio or written testimonials and case study reports provided by you.
For in-person sessions, you grant permission to us to respectfully lift your arm, touch your shoulder, tap your forehead, or rock your head during your session(s) to help facilitate the therapy process.
For online sessions, you undertake to ensure that you commit to all protocols of an online session, including securing a safe space where you will not be disturbed or interrupted, have a reliable secure internet connection and turn all communication devices off or on silent for the duration of the session.
You consent that we may contact you via email and/or mobile phone (now and in the future). You agree that we may contact you after the appointment(s) for follow-up purposes.
You consent that information may be released to a specific individual or agency if it is determined that a child or elder is at risk of, or is currently being abused; if you, as the client, are in imminent danger to yourself or others; or if a subpoena of records has been requested. You understand that aspects of your case may be discussed with a fellow practitioner keeping your name and identity 100% confidential.
Disclaimer
To the maximum extent permitted by applicable law, we exclude all representations, warranties and conditions relating to our website and the use of this website. Nothing in this disclaimer will:
limit or exclude your liability for death or personal injury;
limit or exclude your liability for fraud or fraudulent misrepresentation;
limit any of your liabilities in any way that is not permitted under applicable law; or
exclude any of your liabilities that may not be excluded under applicable law.

Submission of Ideas
HeyManuel may include a platform through which users may submit ideas in connection with new products, services and/or related features (each, an “Idea”). By submitting an Idea to HeyManuel, you agree to the following unless we have mutually agreed in writing otherwise:
You are submitting your Idea to HeyManuel on a voluntary, non-confidential, and gratuitous basis;
You grant HeyManuel a perpetual, irrevocable, non-exclusive, fully-paid up and royalty-free license to use any Idea you submit to HeyManuel without restrictions or payment or other consideration of any kind, or permission or notification to you or any third party. The license includes, without limitation, the irrevocable right to reproduce, prepare derivative works, combine with other works, alter, translate, distribute copies, display, perform, license the Idea, and all rights therein, in the name of HeyManuel throughout the universe in perpetuity in any and all media now or hereafter known;
HeyManuel may already be working on the same or a similar Idea, or it may have received a similar or identical idea from other sources;
The Idea represents your own original work, you have all necessary rights to disclose the Idea to HeyManuel, and neither your disclosure of the Idea nor HeyManuel’s review and/or use of the Idea will infringe upon the rights of any other individual or entity;
Disclosing your Idea to HeyManuel does not establish a confidential relationship or obligate HeyManuel to treat the Idea as confidential;
HeyManuel has no obligation to develop or use your Idea and does not owe you or anyone else any compensation for any use of your Idea or any Ideas that are related to or derived from your Idea;
HeyManuel assumes no obligation with respect to any Idea unless and until it enters into a written contract with you, and then only as expressed in such written contract;
If your Idea is the subject of a patent that is pending or has been issued, you have or will disclose that fact to HeyManuel. HeyManuel acknowledges that to the extent you hold a patent in the Idea, no license under any patent is granted to HeyManuel;
Any license to use a patented Idea shall be in the form of a written contract, and HeyManuel’s obligations shall be limited to only those in such written contract;
HeyManuel is not obligated to review your Idea, give reasons for rejecting your Idea, or disclose any activities that are related to the subject matter of your Idea;
You will not construe HeyManuel’s review of your Idea, or any discussion, negotiations or offer between yourself and HeyManuel relating to the possible purchase or license of your Idea, as recognition of the novelty, originality, priority, other rights, or value of your Idea, and HeyManuel’s discussions or negotiations with you will not in any way impair HeyManuel’s right to contest the validity or infringement of your rights;
You hereby irrevocably release and forever discharge HeyManuel and all employees from any and all actions, causes of actions, claims, damages, liabilities and demands, whether absolute or contingent and of any nature whatsoever, which you now have or hereafter can, shall or may have against HeyManuel or or its employees with respect to the Idea, including without limitation in respect of how HeyManuel directly or indirectly uses the Idea, with the sole exception in respect of the foregoing release and discharge being your right to bring a claim of patent infringement; and
You agree that you are responsible for the content of the Idea and further agree (at HeyManuel’s option and at your sole expense) to defend, indemnify, and hold HeyManuel harmless from any and all actions, claims, and liabilities, demands, whether absolute or contingent and of any nature whatsoever, damages, losses, costs, fees, fines or expenses, including reasonable attorneys’ fees, which HeyManuel or its employees may incur as a result of use of your Idea in accordance with these Terms of Service.
